DBS United Real Estate Investment Services: Terms and Conditions

 Introduction

These Terms and Conditions (“Terms”) govern the provision of real estate investment services (“Services”) by DBS United Capital Bank (“DBS United” or “we”) to you, the client (“you” or “Client”). By engaging DBS United for any of our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

 Services

DBS United offers a range of real estate investment services, including but not limited to:

  • Fund Management: Managing investment funds focused on acquiring and developing real estate properties.
  • Property Acquisition: Identifying, evaluating, and acquiring suitable real estate properties on behalf of clients or investment funds.
  • Property Management: Overseeing the day-to-day operations of acquired properties, including tenant management, property maintenance, and financial reporting.
  • Investment Advisory: Providing expert advice on real estate investment strategies, market trends, and risk assessment.
  • Due Diligence: Conducting thorough due diligence investigations on potential real estate investments, including legal, financial, and technical assessments.

 Client Responsibilities

  • Provide Accurate Information: You are responsible for providing DBS United with accurate and complete information regarding your investment objectives, risk tolerance, and financial situation.
  • Adhere to Instructions: You agree to follow the instructions and recommendations provided by DBS United in connection with the Services.
  • Cooperate with DBS United: You will cooperate fully with DBS United in all matters relating to the Services.
  • Comply with Applicable Laws: You agree to comply with all applicable laws, rules, and regulations in connection with your investment activities.

 Fees and Expenses

Fees for DBS United’s Services will be as agreed upon in writing between you and DBS United. Fees may be based on a variety of factors, including the scope of services provided, the value of the investment, and the complexity of the transaction.

In addition to fees, you may be responsible for other expenses incurred in connection with the Services, such as:

  • Property acquisition costs (e.g., legal fees, appraisal fees, due diligence fees)
  • Property management expenses (e.g., property taxes, insurance, maintenance costs)
  • Transaction costs (e.g., brokerage fees, closing costs)

 Investment Risks

Real estate investments involve significant risks, including:

  • Market Risk: Fluctuations in property values, interest rates, and economic conditions can adversely impact investment returns.
  • Liquidity Risk: Real estate investments can be illiquid, making it difficult to sell or dispose of properties quickly.
  • Operational Risk: Unexpected events, such as natural disasters or tenant defaults, can negatively impact property performance.
  • Legal and Regulatory Risk: Changes in laws and regulations can affect the profitability and viability of real estate investments.

You acknowledge that you have been made aware of the risks associated with real estate investments and that you are solely responsible for assessing and managing these risks.

 Limitation of Liability

DBS United shall not be liable for any losses or damages arising from:

  • Market fluctuations: Changes in market conditions that adversely affect the value of your investment.
  • Force majeure events: Events beyond DBS United’s reasonable control, such as natural disasters, wars, or pandemics.
  • Your own actions or omissions: Any actions or omissions on your part that contribute to losses.
  • Third-party actions: The actions or omissions of third parties, such as contractors, tenants, or government agencies.

 Confidentiality

DBS United agrees to treat all confidential information received from you as confidential and will not disclose such information to any third party without your prior written consent, except as required by law or regulation.

 Termination

This Agreement may be terminated by either party upon written notice to the other party. DBS United may also terminate this Agreement immediately upon written notice if you breach any of these Terms.

 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [U.S. District Court for the Southern District of New York]. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of [U.S. District Court for the Southern District of New York].  

 

 Amendments

DBS United reserves the right to amend these Terms from time to time. Any amendments will be effective upon written notice to you.

 Entire Agreement

These Terms constitute the entire agreement between you and DBS United with respect to the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

 

 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
